Welcome to NDT EXCHANGE. These terms and conditions outline the rules and regulations for the use of NDT EXCHANGE's Website, located at ndt-exchange.com.

By accessing this website we assume you accept these terms and conditions. Do not continue to use NDT EXCHANGE if you do not agree to take all of the terms and conditions stated on this page.

1. Definitions

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person logging on to this website and compliant with the Company's terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company. "Party", "Parties", or "Us", refers to both the Client and ourselves.

2. Account Registration & Security

To access certain features of the platform, you must register for an account. Users are responsible for maintaining the confidentiality of their login credentials and all activities occurring under their account. You must notify us immediately of any unauthorized use of your account. NDT EXCHANGE reserves the right to suspend or terminate accounts involved in fraud, misuse, or violations of these Terms.

3. License to Use Website

Unless otherwise stated, NDT EXCHANGE and/or its licensors own the intellectual property rights for all material on NDT EXCHANGE. All intellectual property rights are reserved. You may access this from NDT EXCHANGE for your own personal and commercial use inside your organization subject to restrictions set in these terms and conditions.

You must not:

  • Republish material from NDT EXCHANGE outside your authorized usage
  • Sell, rent or sub-license material from NDT EXCHANGE directly to third parties
  • Reproduce, duplicate or copy core site architecture and components of NDT EXCHANGE
  • Redistribute content from NDT EXCHANGE (unless content is specifically made for redistribution)

4. Acceptable Use Policy

You agree to use the platform only for lawful purposes. You are strictly prohibited from engaging in the following actions:

  • Uploading or posting fraudulent, falsified, or misleading certifications or credentials.
  • Creating fake job postings, mock assignments, or listing non-existent equipment.
  • Spamming, harassment, or sending unsolicited advertisements and commercial offers.
  • Introducing malware, viruses, Trojan horses, or other malicious software to the system.
  • Using automated scraping, bots, crawlers, or extraction tools to harvest data from the platform.
  • Conducting or facilitating any illegal activity, regulatory evasion, or financial crimes.

5. User Content & Report Ownership

In these Terms and Conditions, "Your User Content" shall mean any audio, video, text, images, or other material you choose to upload or display on this Website.

Report Ownership: Users retain ownership of their inspection reports, calibration files, and uploaded content. Users grant NDT EXCHANGE a limited, non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, transmit, and process such content solely for the purpose of operating and providing platform services.

6. Role of the Platform, Jobs & Disclaimer of Services

NDT EXCHANGE acts as a neutral digital platform to connect asset owners (Clients), employers, recruiters, independent NDT service providers, equipment renters, and academies. We are not a party to the actual service, employment, rental, or training agreements between users. Our role is strictly limited to providing the technology to facilitate these connections.

No Guarantee: NDT EXCHANGE does not guarantee the availability of work opportunities, contracts, equipment rentals, candidates, students, or business outcomes resulting from use of the platform.

Employment Disclaimer: NDT EXCHANGE is not an employer, employment agency, or joint employer of any candidates, inspectors, or technicians using the platform. No employer-employee relationship is created between NDT EXCHANGE and any user.

Vetting & Compliance: The hiring company, employer, or client is solely responsible for verifying candidate credentials, certifications, reference checks, tax compliance (including withholding and reporting), and adherence to local labor and employment laws.

Equipment Rental Disclaimer: NDT EXCHANGE does not verify or warrant the physical condition, safety, operational standard, or calibration accuracy of any instruments rented or leased through the marketplace. Lessees and renters are solely responsible for verifying calibration certificates and equipment condition upon receipt.

Academy & Training Disclaimer: NDT EXCHANGE is not responsible for the quality, accuracy, curriculum, or certification outcomes of training courses listed by independent Academies. Students and candidates must verify the accreditation status and qualifications directly with the course providers.

Electronic Communications Consent: By creating an account, users agree to receive electronic communications related to services, transactions, account activity, and platform updates.

7. Third-Party Services Disclaimer

The NDT EXCHANGE platform utilizes cloud infrastructure, authentication services, payment gateways, and analytics tools provided by third parties (including but not limited to Firebase, Azure, AWS, and Razorpay). You acknowledge that platform availability depends on these third-party providers. NDT EXCHANGE shall not be liable for any outages, service disruptions, or data access delays caused by failures in third-party systems.

8. Financial Transactions

NDT EXCHANGE provides a platform to connect asset owners (Clients) with NDT service providers. While our platform facilitates this connection and the management of job workflows, we are not a party to any financial agreements or transactions between Clients and providers.

All payments for services rendered are to be handled directly between the Client and the service provider. NDT EXCHANGE does not process payments, handle invoices, or take a commission on jobs unless explicitly stated in a separate agreement. We are not responsible for any disputes related to payments, invoicing, or financial terms agreed upon between users of the platform.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Company's primary place of business.

10. Sanctions & Export Control

NDT EXCHANGE serves international users across the globe. Users warrant that they are not located in, under the control of, or a national or resident of any country under trade sanctions or embargoes. Users may not use the platform in violation of export control laws, sanctions regulations, or trade restrictions of India, the European Union, the United States, or other applicable jurisdictions.

11. User Certification Warranties & Indemnification

Accuracy of Credentials: Users posting certifications, Level I/II/III audit capabilities, business licenses, or calibration records warrant that all such information is true, accurate, and currently valid. Providing fraudulent certification records is a material breach of these terms and will result in immediate account termination.

Indemnification:You agree to indemnify, defend, and hold harmless NDT EXCHANGE, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the platform; (b) any services, inspection work, or reports provided by you; (c) any equipment leased or rented by you; (d) any employment relationships or disputes related to jobs posted by you; or (e) your violation of these Terms or any local laws or regulations.

12. Dispute Resolution

In the event of any controversy, claim, or dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the issue in good faith through informal negotiation or mediation. Any unresolved dispute after thirty (30) days of mediation shall be settled through binding arbitration in the jurisdiction of the Company's primary place of business, in accordance with prevailing local arbitration rules, before initiating any formal court proceedings.

13. Limitation of Liability & Cap

In no event shall NDT EXCHANGE, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this Website. To the maximum extent permitted by law, NDT EXCHANGE's aggregate liability under or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the amount paid by the user to NDT EXCHANGE during the preceding twelve (12) months.

14. Termination Rights

NDT EXCHANGE may suspend, restrict, or terminate access to the platform at its sole discretion, without notice or liability, where a user violates these Terms, applicable laws, or engages in fraudulent, abusive, or harmful conduct.

15. Privacy & Data Protection

Use of the platform is also governed by our Privacy Policy, which forms an integral part of these Terms and Conditions. Please review the Privacy Policy to understand how we collect, store, and process your data.

16. Force Majeure

Neither party shall be liable for any delay or failure caused by events beyond their reasonable control, including but not limited to natural disasters, acts of God, war, government actions, cyberattacks, utility failures, telecommunication line failures, or global network outages.

17. Changes to Terms

NDT EXCHANGE reserves the right to revise, modify, or update these Terms and Conditions at any time. When updates are made, we will revise the last updated date. Continued use of the platform after changes are posted constitutes acceptance of the new Terms.
